These Terms of Service (these "Terms") govern your access to and use of the website located at forgefurther.ai and any associated subdomains, content, and features (collectively, the "Site"), and the Forge software-and-services product known as "Blue" (the "Services"), each operated and provided by Forge AI LLC ("Forge," "we," "us," or "our").

By accessing or using the Site or the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.

Forge's paid Services are additionally governed by a separate written agreement between you and Forge (a "Master Services Agreement" or "MSA"). If there is any conflict between these Terms and an MSA you have signed with Forge, the MSA controls for the matters addressed by the MSA.


1. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to use the Site or the Services. By using the Site, you represent and warrant that you meet these requirements.

2. Description of Services

Forge provides AI-assisted operational support to small businesses. The product, known as "Blue," is a set of automated workflows that Forge configures and operates on the Customer's behalf. Workflows may include (without limitation):

Blue does not initiate ACH transfers or move money out of the Customer's bank accounts. Blue's role with respect to financial transactions is limited to drafting, tracking, surfacing, and recording. Actual money movement is performed by the Customer through their own banking relationships.

3. Authorization and Connected Services

The Services require the Customer to authorize Forge to connect to one or more third-party services. The Customer authorizes such connections through OAuth 2.0 or an equivalent secure mechanism, granting Forge the scopes necessary to perform the Services. The Customer represents and warrants that the Customer has the authority to grant such access.

The Customer may revoke any authorization at any time. Instructions for revoking access are available at forgefurther.ai/disconnect.

4. License to Use the Services

Subject to these Terms (and any applicable MSA), Forge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business operations. This license terminates automatically upon any breach of these Terms or termination of your subscription.

5. End User License Agreement (EULA)

The Services include software components installed on hardware deployed at the Customer's premises (the "Deployed Software"), including configuration files, workflow definitions, prompt libraries, scripts, and associated documentation. The following EULA terms apply to the Deployed Software:

  1. License grant. Subject to your continuing compliance with these Terms and any MSA, Forge grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Deployed Software solely for the operation of your business and solely as part of your subscribed Services.
  2. Restrictions. You will not, and will not permit any third party to: (a) copy, modify, or create derivative works of the Deployed Software; (b) reverse engineer, decompile, or disassemble the Deployed Software, except to the extent expressly permitted by applicable law; (c) sell, lease, sublicense, or distribute the Deployed Software; (d) use the Deployed Software to provide services to any third party; (e) remove, obscure, or alter any proprietary notices; or (f) use the Deployed Software in violation of applicable law.
  3. Ownership. Forge retains all right, title, and interest in and to the Deployed Software, including all intellectual property rights. You acknowledge that the Deployed Software, including the workflow definitions, prompt libraries, methodology, and operational know-how, constitute trade secrets of Forge protected under applicable law (including the Defend Trade Secrets Act, 18 U.S.C. § 1836).
  4. Updates. Forge may, from time to time, deliver updates, patches, or modifications to the Deployed Software. These updates are part of the Services and are governed by these Terms.
  5. Termination. Upon termination of your subscription, the license to the Deployed Software terminates automatically, and you will permit Forge to remove the Deployed Software from your premises.

6. Customer Data

As between Forge and the Customer, the Customer owns all data submitted to or accessed by the Services on the Customer's behalf, including data retrieved from connected third-party services such as QuickBooks Online, Gmail, and Google Calendar ("Customer Data"). The Customer grants Forge a limited license to access, process, store, and transmit Customer Data solely as necessary to provide the Services.

Forge's processing of Customer Data is described in our Privacy Policy. Forge does not use Customer Data to train artificial intelligence models for use outside the provision of the Services to the Customer.

If you submit information to us through the Site — such as through a contact form, demo request, newsletter signup, or comment field — you represent that the information is accurate and that you have the right to provide it. You grant Forge a non-exclusive, worldwide, royalty-free license to use, store, and process the information for the purpose of responding to your inquiry, providing the Services you request, or otherwise as described in our Privacy Policy.

If you provide Forge with feedback, suggestions, or ideas regarding the Site or the Services, you grant Forge a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without restriction or compensation.

Do not submit confidential, sensitive personal information, or information you are not authorized to share through Site forms. If you wish to share confidential information with Forge, contact us at [email protected] to arrange an appropriate confidentiality agreement.

9. Privacy

Your use of the Site and the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms.

10. Communications

By providing your email address or phone number, you consent to receive communications from Forge related to your inquiry, account, or use of the Services. We may also send you marketing communications about our products and services. You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email or by emailing [email protected]. We will continue to send you transactional and account-related communications as necessary.

11. Third-Party Links and Services

The Site and the Services may contain links to third-party websites or content not owned or controlled by Forge. We do not endorse and are not responsible for any third-party content, products, services, or websites. Your use of any third-party website or service is at your own risk and subject to the terms and policies of that third party. This includes (without limitation) Intuit's QuickBooks Online, Google Workspace services, Anthropic's Claude API, and any other services Forge integrates with on your authorization.

12. AI-Generated Content and Demonstrations

The Site and the Services include outputs produced by artificial intelligence systems, including the "Blue" agent. Such outputs are produced through probabilistic reasoning and may be inaccurate, incomplete, or unsuitable for a particular purpose. The Customer is responsible for reviewing AI-generated outputs before relying on them, and the Services include human-in-the-loop approval steps for actions that affect Customer relationships, finances, or reputation. You should not rely on AI-generated content displayed on the Site for any business, legal, financial, medical, or other consequential decision.

13. Disclaimers

THE SITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORGE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT THE SITE OR THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. INFORMATION ON THE SITE IS GENERAL IN NATURE AND DOES NOT CONSTITUTE LEGAL, TAX, FINANCIAL, OR PROFESSIONAL ADVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORGE AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF FORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FOR USE OF THE SITE WITHOUT A SIGNED MSA, FORGE'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). FOR USE OF PAID SERVICES UNDER AN MSA, LIABILITY IS GOVERNED BY THE TERMS OF THE MSA.

THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Forge and its officers, directors, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content or information you submit through the Site or the Services.

16. Termination

We may suspend or terminate your access to the Site or the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Site and the Services immediately ceases. Sections that by their nature should survive termination will survive, including Sections 5, 6, 8, 13, 14, 15, 18, and 19.

17. Changes to the Site, Services, or These Terms

We may modify, suspend, or discontinue the Site, the Services, or any feature of them at any time. We may also update these Terms from time to time. When we update these Terms, we will revise the "Last Updated" date at the top. Your continued use of the Site or the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to any change, you must stop using the Site and the Services.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Marion County or Johnson County, Indiana, and you consent to the personal jurisdiction of those courts.
